Acceptance of these terms
These Terms of Use (“Terms”) are an agreement between you and ClipScout governing your access to and use of clipscout.io and related services. By using ClipScout, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

Eligibility and accounts
You must be at least 13 years old and legally able to enter this agreement. If you use ClipScout for an organization, you represent that you can bind that organization to these Terms.
Provide accurate account information, keep credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account. We may require verification and may refuse, suspend, or revoke accounts when reasonably necessary to protect ClipScout or others.

The ClipScout service
ClipScout provides a provider-neutral interface for finding, organizing, and, when available, playing media from supported sources. Features may include accounts, playlists, likes, saved channels, comments, search and watch history, editorial selections, and account-administration tools.
Search results, metadata, artwork, availability, and playback are influenced by third-party sources and may be incomplete, delayed, inaccurate, unavailable, or changed without notice. ClipScout does not guarantee that any particular media item or provider will remain available.

Third-party media and services
Media, metadata, creator names, trademarks, and other third-party materials belong to their respective owners. ClipScout does not claim ownership of third-party content and does not endorse every result it displays.
Your use of third-party content and services may be governed by provider terms, licenses, and applicable law. You are responsible for determining whether your access, playback, use, copying, or distribution is permitted.

Acceptable use
You may not:
- Use ClipScout unlawfully, fraudulently, or to violate another person’s rights.
- Attempt to bypass access controls, security measures, usage restrictions, provider protections, or account authorization.
- Probe, disrupt, overload, scrape, reverse engineer, or automate access to ClipScout except through a method we expressly authorize.
- Upload or transmit malware, deceptive content, spam, harassment, threats, or material that is illegal or infringes intellectual-property or privacy rights.
- Impersonate another person, misrepresent affiliation, harvest member information, or share credentials for unauthorized access.
Administrator-only tools
Original-media downloads, format conversion, separate-track processing, member administration, and similar control-plane features are restricted to authorized ClipScout administrators. Administrators must use these tools only for legitimate, authorized purposes and in compliance with provider terms, licenses, copyrights, and applicable law. Administrative access does not grant rights in third-party media.

Member contributions
You retain ownership of comments and other content you submit. You give ClipScout a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and distribute that content only as needed to operate, secure, and improve the service.
You represent that you have the rights needed to submit your content. We may remove or restrict content that violates these Terms, creates risk, or is reasonably alleged to be unlawful or infringing.

ClipScout ownership
ClipScout and its original software, design, branding, documentation, and service features are owned by ClipScout or its licensors and are protected by applicable intellectual-property laws. Except for rights expressly granted in these Terms, no rights are transferred to you.
You may provide feedback. If you do, you permit us to use it without restriction or compensation, while we remain responsible for how we choose to use it.

Availability and disclaimers
ClipScout is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
We may change, suspend, limit, or discontinue features; impose reasonable usage limits; or perform maintenance at any time. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of liability
To the maximum extent permitted by law, ClipScout and its operators, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from use of or inability to use the service.
Where liability cannot be excluded, it will be limited to the greater of the amount you paid ClipScout for the service during the six months before the event giving rise to the claim or US $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Termination, changes, and general terms
You may stop using ClipScout or delete your account at any time. We may suspend or terminate access when you violate these Terms, create legal or security risk, or when operation of the service is no longer practical. Provisions that by their nature should survive termination will survive.
We may update these Terms. The effective date will change, and additional notice will be provided when required. If one provision is unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver.
